Corporate Paralegal
Responsibilities
- Provide paralegal support to the attorneys engaged in busy dynamic Corporate law practice assisting with all phases of general corporate and securities law practice. Specific duties include:
- General corporate housekeeping
- Formation of corporations
- Maintaining books for privately held corporations
- Preparation of corporate minutes and by-laws
- Assistance with IPO’s and private placement transactions
- Preparation of closing documents
- Organization of due diligence documents
- Assistance with mergers & acquisitions
- Preparation of stock ledgers, resolutions and audit response letters
- UCC Filings and Searches
- Blue Sky laws filings
Qualifications
- One to two years of corporate paralegal experience in law firm setting.
- Bachelor’s degree
- Proficiency on Microsoft Word
- Excellent written and oral communication skills
- Excellent organizational skills with the ability to manage multiple priorities and track extensive detail
- Ability to establish and maintain good working relationships with personnel
- Ability to work under stress
- Flexibility with overtime
- Willingness to work with and assist other staff members in accomplishing work assignments
- Pleasant and cooperative attitude
- Ability to handle confidential information sensitively and discreetly
